Public Offer Agreement

This agreement is an official and public offer of the Seller to conclude a contract of sale of the Goods presented on the website powerup.ua. This agreement is public, meaning that in accordance with Article 633 of the Civil Code of Ukraine, its terms are identical for all Buyers.

1. DEFINITION OF TERMS

• Public Offer (Proposal) — a public proposal of the Seller, addressed to an indefinite circle of persons, to conclude a contract for the sale of goods with the Seller in a remote way under the conditions contained in this Offer.
• Online Store — the Seller's website at https://powerup.ua/, created for the conclusion of retail and wholesale purchase and sale contracts based on the Buyer's familiarity with the description of the Goods proposed by the Seller.
• Buyer — a legally capable individual or legal entity entering into contractual relations with the Seller under the conditions specified in this Agreement.
• Goods — the object of the agreement of the parties (computer equipment, servers, workstations, components, etc.), selected by the Buyer in the Online Store and placed in the shopping cart or already ordered in any other way.

2. SUBJECT OF THE AGREEMENT

2.1. The Seller undertakes to transfer the Goods to the ownership of the Buyer, and the Buyer undertakes to pay for and accept the Goods under the conditions of this Agreement.

2.2. This Agreement regulates the purchase and sale of goods in the Online Store, including:

• voluntary choice of goods by the Buyer in the Online Store;
• independent placement of the order by the Buyer in the Online Store;
• payment by the Buyer of the order placed in the Online Store;
• delivery and transfer of the order to the Buyer's ownership under the terms of this Agreement.

3. ORDERING PROCEDURE

3.1. The Buyer has the right to place an order for any Goods presented on the Website of the Online Store that are in stock or available for pre-order.

3.2. The order can be placed by the Buyer through the electronic form on the Website or by phone numbers indicated on the Website.

3.3. In the absence of the Goods in the warehouse, the Company Manager is obliged to inform the Buyer (by phone or via email). In the absence of the Goods, the Buyer has the right to replace them with similar Goods, refuse the Goods, or cancel the order.

4. PRICE AND PAYMENT PROCEDURE

4.1. The price of each individual Goods is determined by the Seller and indicated on the Online Store Website.

4.2. The contract price (order value) is determined by the total cost of all Goods selected by the Buyer that are part of the formed order.

4.3. Payment is made in the national currency of Ukraine — hryvnia, in accordance with the terms and methods described in detail in the "Payment and Delivery" section on the Seller's Website.

4.4. The order is considered paid from the moment the funds are received on the bank account of the Seller or the Seller's representative (for example, the delivery service in the case of cash on delivery).

5. ORDER DELIVERY

5.1. Delivery of Goods purchased in the Online Store is carried out to the warehouses of transport companies (delivery operators) or to the address specified by the Buyer within the territory of Ukraine.

5.2. Along with the order, the Buyer is provided with the documents prescribed by current legislation.

Privacy Policy and Rights of the Parties

6. RIGHTS AND OBLIGATIONS OF THE PARTIES

6.1. The Seller undertakes to:

• Fulfill the terms of this Agreement;
• Transfer the Goods to the Buyer in accordance with the selected sample, placed order, and terms of this Agreement.

6.2. The Seller has the right to:

• Unilaterally suspend the provision of services under this Agreement in case of violation by the Buyer of the terms of this Agreement.

6.3. The Buyer undertakes to:

• Pay for and collect the order in a timely manner under the terms of this Agreement.

6.4. The Buyer has the right to:

• Place an order in the Online Store;
• Demand from the Seller the fulfillment of the terms of this Agreement.

7. COLLECTION AND PROCESSING OF PERSONAL DATA (PRIVACY POLICY)

7.1. By placing an order on the Website powerup.ua, the Buyer gives full and voluntary consent to PE Kulyk Volodymyr Valeriyovych for the collection, processing, storage, and use of his personal data in accordance with the Law of Ukraine "On Protection of Personal Data".

7.2. Personal data of the Buyer (in particular: last name, first name, patronymic, phone number, email address, delivery address) are collected solely for the purpose of:

• fulfillment of the Seller's obligations to the Buyer (sending the Goods, processing payments, providing financial documents);
• contacting the Buyer regarding the order status;
• organization of service, warranty, and post-warranty maintenance.

7.3. The Seller undertakes to ensure full confidentiality of the personal data of Buyers and not to transfer them to third parties, except in cases where such transfer is necessary for the fulfillment of the order (for example, transferring data to the logistics service "Nova Poshta" for delivery) or prescribed by the legislation of Ukraine.

7.4. The Buyer has the right at any time to request the deletion or correction of his personal data from the database of the Online Store by contacting the website support service.

8. LIABILITY OF THE PARTIES AND DISPUTES

8.1. The parties are liable for non-fulfillment or improper fulfillment of the terms of this Agreement in the manner prescribed by this Agreement and the current legislation of Ukraine.

8.2. All disputes arising out of or related to this Agreement shall be resolved through negotiations. If the dispute cannot be resolved through negotiations, it shall be resolved in court in accordance with the current legislation of Ukraine.

9. TERM OF THE AGREEMENT

9.1. This Agreement enters into force from the moment the Buyer performs an acceptance (places an order or pays for the goods) and remains in force until the full fulfillment of obligations by the Parties.

9.2. Before the expiration of its term, this Agreement may be terminated by mutual consent of the parties prior to the actual delivery of the goods.
